Welcome to the website of Home Run Projects Pty Limited (the "Service"), dedicated to solving business challenges through consulting and strategic services. These Terms of Service ("Terms") govern your access to and use of our website and services.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

2. Eligibility

You must be at least 18 years of age and capable of entering into a binding contract to use our Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Services and Scope of Work

A. General Use

The purpose of this website is to provide information about our consulting services and facilitate contact with potential clients.

B. Specific Projects

All specific project engagements for solving business challenges are governed by a separate, formal, written Service Agreement and a Statement of Work (SOW) executed between the client and Home Run Projects Pty Limited. In the event of any conflict between these Terms and the SOW, the terms of the SOW shall prevail regarding the specific services provided.

4. Client Obligations

As a client, you agree to:

  1. Provide timely, complete, and accurate information and data necessary for us to perform the consulting services.

  2. Ensure that all provided information and materials do not infringe on the intellectual property rights of any third party.

  3. Designate a primary contact person to manage communication and decisions related to the project.

  4. Pay all invoices promptly according to the payment schedule outlined in the SOW.

5. Intellectual Property Rights (IP)

A. Company IP

All content on the website, including text, graphics, logos, and service methodologies ("Company IP"), is the property of Home Run Projects Pty Limited and protected by copyright and other intellectual property laws. You may not use Company IP without our prior written consent.

B. Project Deliverables IP

Unless otherwise specified in the SOW, upon successful final payment for the services rendered, the client shall be granted a perpetual, worldwide, non-exclusive, fully paid-up license to use the final project deliverables (e.g., reports, strategies) solely for their internal business operations. Home Run Projects Pty Limited retains the underlying intellectual property rights and know-how used to create the deliverables.

6. Payments and Billing

All fees for our services are outlined in the SOW. Payment terms are strictly enforced. We reserve the right to suspend work or terminate the Service Agreement if payments are not received by the due date.

7. Limitation of Liability

To the maximum extent permitted by law, Home Run Projects Pty Limited, including its directors, employees, and agents, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  1. Your access to or use of, or inability to access or use, the Service;

  2. Any conduct or content of any third party on the Service;

  3. Any unauthorized access, use, or alteration of your data or transmissions.

Our total liability to you for any claim arising out of or relating to these Terms or the services provided is limited to the amount paid by you to Home Run Projects Pty Limited for the services during the six (6) months prior to the event giving rise to the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Home Run Projects Pty Limited and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, any breach of your obligations under Section 4.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of  Victoria, Australia, without regard to its conflict of law provisions.
